1. The Services The Client hereby acknowledges and agrees that the services described in the quotation of services shall be provided by MJ Drafting & Designs in accordance with the requirements of these terms and conditions

2. Execution of Services

MJ Drafting & Designs shall comply with all reasonable requirements of the Client in connection with the Services and generally use its best endeavours to promote the successful completion of the services. MJ Drafting & Designs shall perform the services with due care, diligence and skill expected from a person providing services as described. MJ Drafting & Designs shall be at liberty to carry out the work in a manner and time chosen by MJ Drafting & Designs and shall be solely responsible for the manner and time and performance of work provided. The Client shall comply with all reasonable requirements of MJ Drafting & Designs in connection with the Services and generally use its best endeavours to promote the successful completion of the services

3. Contractors Workforce

MJ Drafting & Designs will engage the services of sufficient personnel to perform the work from time to time. This choice and selection of the persons so employed by MJ Drafting & Designs are within the sole discretion of MJ Drafting & Designs. MJ Drafting & Designs shall ensure its employees and subcontractors, if any, agree also to the provisions of these terms and conditions

4. Materials

MJ Drafting & Designs shall supply all equipment and tools required to carry out the drafting & design work and the Client is under no obligation to supply any equipment and materials or to provide any accommodation or place of work unless otherwise agreed by both parties

5. Exclusive Rights to Services

The parties hereto agree that the Client has no exclusive rights to the service of MJ Drafting & Designs which shall be at liberty to perform the services of a similar nature or otherwise for persons or companies other than the Client as MJ Drafting & Designs in its absolute discretion thinks fit

6. Variations to Services

By notice to MJ Drafting & Designs in writing, the Client may vary the form and quantity of the Services, or any part thereof that may in its opinion be necessary or desirable. MJ Drafting & Designs shall act accordingly by: Executing additional services necessary to complete the Services Increase or decrease the quantity of the Services Omit any of the Services No variations shall in any way vitiate or invalidate the agreement, but their value, as mutually agreed, shall be taken into account in increasing or reducing the charges payable to MJ Drafting & Designs for the performance of the Services

7. Remuneration

In consideration of the Services provided by MJ Drafting & Designs the Client shall pay to MJ Drafting & Designs the charges calculated by reference to the rates specified in the quotation of services and in relation to the same: The Client shall be obliged to pay MJ Drafting & Designs against any invoice completed by MJ Drafting & Designs and provided to the Client in respect of the Services within the terms specified on the invoice. Overdue payment of invoices will attract additional administration fees. If the client fails to make payment once the invoice has been issued, MJ Drafting & Designs hold the rights to appoint the services of a debt collection agency to collect outstandings fees on behalf of MJ Drafting & Designs, in which case the client will burden the costs of such services. These fees will be adeed to the total outstanding invoice for services provided. Final Drawings will not be issued until all outstanding invoices are paid in full.

8. Expenses

The Client will reimburse MJ Drafting & Designs for actual costs on valid invoices where such costs are incurred in respect to properly documented expenses of MJ Drafting & Designs reasonably incurred in the course of the Services where such expenses incurred with the prior approval of the Client.

9. Confidentiality

All information relating to the Quotation of Services, are confidential and shall not be used by the Client other than for the purpose of performing the Services. By using our site, you consent to our 10. Ownership of Documents

The ownership of any design documentation and supporting documents supplied by MJ Drafting & Designs to the Client shall remain the property of Contractor till such time when all invoices have been paid in full

11. Termination

Either party shall be at liberty to terminate this agreement upon written notice within seven days of its intention to do so and in the event that such notice is given MJ Drafting & Designs shall be entitled to only so much as represents the portion of remuneration payable under clause 7 hereof calculated at the charges for the hours properly so worked by MJ Drafting & Designs or its employees in the performance of its obligations herein

12. Waivers

No waiver of any provision nor consent to any departure therefrom, by any parties shall be effective unless the same shall be in writing and then such waiver or consent shall be effective only in the specific instance and for the purpose of which it is given. No default or delay on the part of any of the parties in exercising any rights, powers or privileges under these terms and conditions shall operate as a waiver of any other right hereunder. A single or partial exercise shall not preclude any or further exercise thereof or the exercise of any other right, power or privilege. If any part of these terms and conditions are, or becomes, void or unenforceable, that part is, or will be, severed from these terms and conditions so that all parts are not, or not to become, void or unenforceable, remain in full force and effect and are unaffected by that severance

13. Client/Contractor Relationship

Nothing herein shall constitute MJ Drafting & Designs a partner of the Client and the relationship of MJ Drafting & Designs to the Client shall be that of an independent Contractor only. MJ Drafting & Designs will not hold itself out in any way as being in partnership with the Client and will not do any act or thing whereby any partnership will be presumed or implied
